By accessing or using the InvestPro Canada website, mobile application, trading platform, or any related services (collectively, the "Platform"), you agree to be bound by these Terms of Service ("Terms"). These Terms constitute a legally binding agreement between you and InvestPro Canada Inc., a corporation registered in Ontario, Canada ("InvestPro", "we", "us", or "our"). If you do not agree to these Terms in their entirety, you must immediately discontinue use of the Platform. Use of the Platform is restricted to individuals who are at least 18 years of age or the age of majority in their jurisdiction of residence, whichever is greater. By using the Platform, you represent and warrant that you meet this age requirement and have the legal capacity to enter into binding agreements.
InvestPro provides an online investment and trading platform that enables users to access global financial markets. Our services include, but are not limited to, the ability to trade stocks, exchange-traded funds (ETFs), options, bonds, and other securities listed on Canadian and international exchanges. The Platform offers real-time market data, research tools, portfolio tracking, educational resources, account management features, and mobile application access. InvestPro acts as an intermediary for the execution of trades and does not provide personalized investment advice. All investment decisions are made solely by the user. The Platform may be updated, modified, or expanded at our discretion, and certain features may be added or removed without prior notice. We reserve the right to limit access to certain services based on user location, account type, regulatory requirements, or other factors determined in our sole discretion.
You agree to use the Platform only for lawful purposes and in compliance with all applicable Canadian federal and provincial laws, as well as the laws of any jurisdiction from which you access the Platform. You must not use the Platform to engage in any fraudulent, abusive, or illegal activity. Prohibited activities include, but are not limited to, market manipulation, insider trading, money laundering, circumventing security measures, scraping or harvesting data without authorization, impersonating another person or entity, transmitting malware or harmful code, interfering with the operation of the Platform, or attempting unauthorized access to any account, system, or network. You are solely responsible for maintaining the confidentiality of your account credentials, including your username and password. You must notify InvestPro immediately if you suspect unauthorized access to your account. Any activity conducted under your account credentials will be deemed to have been authorized by you, and you will be held responsible for all transactions and actions taken. You agree to provide accurate, complete, and current information during account registration and to update such information promptly if it changes.
All content, materials, software, design elements, trademarks, logos, text, graphics, data, and other intellectual property displayed on or made available through the Platform are the exclusive property of InvestPro Canada Inc. or its licensors and are protected by Canadian and international copyright, trademark, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Platform solely for personal, non-commercial purposes in accordance with these Terms. You may not copy, reproduce, distribute, modify, create derivative works from, publicly display, publicly perform, republish, download, store, or transmit any content from the Platform without our prior written consent, except as necessary for normal use of the Platform in accordance with its intended functionality. Any unauthorized use of the Platform's intellectual property may result in immediate termination of your access and may subject you to civil and criminal liability. Trademarks, service marks, and logos displayed on the Platform are registered and unregistered marks of InvestPro or third parties and may not be used without express written permission.
The Platform and all services, content, and materials provided through it are offered on an "as is" and "as available" basis without warranties of any kind, either express or implied. InvestPro expressly disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, accuracy, completeness, reliability, or non-infringement. We do not warrant that the Platform will be uninterrupted, error-free, secure, or free from viruses or other harmful components. We do not guarantee the accuracy, timeliness, or completeness of any market data, research reports, educational content, or other information provided through the Platform. Such information is provided for informational purposes only and should not be relied upon as the sole basis for investment decisions. You acknowledge that investing in financial markets involves significant risk, including the risk of loss of capital, and that past performance is not indicative of future results. InvestPro does not provide personalized financial, legal, or tax advice, and you should consult with qualified professionals before making investment decisions. Any content or communications from InvestPro should not be construed as a recommendation to buy or sell any security.
To the maximum extent permitted by applicable law, InvestPro Canada Inc., its affiliates, directors, officers, employees, agents, and licensors shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of data, loss of business opportunities, or trading losses, arising out of or in connection with your use of or inability to use the Platform, even if InvestPro has been advised of the possibility of such damages. In no event shall InvestPro's total aggregate liability for all claims arising out of or relating to these Terms or your use of the Platform exceed the total amount of fees paid by you to InvestPro in the twelve months preceding the event giving rise to the claim, or CAD 100, whichever is greater. Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you. In such cases, InvestPro's liability will be limited to the fullest extent permitted by applicable law. This limitation of liability applies to all causes of action, whether based in contract, tort, negligence, strict liability, or any other legal theory.
You agree to indemnify, defend, and hold harmless InvestPro Canada Inc., its affiliates, subsidiaries, officers, directors, employees, agents, partners, and licensors from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your use or misuse of the Platform, your violation of these Terms, your violation of any applicable law or regulation, your violation of any third-party rights (including intellectual property rights or privacy rights), or any activity conducted through your account. This indemnification obligation will survive termination of these Terms and your use of the Platform. InvestPro reserves the right to assume the exclusive defense and control of any matter subject to indemnification by you, in which case you will cooperate fully with InvestPro in asserting any available defenses. You may not settle any claim subject to this indemnification provision without InvestPro's prior written consent.
The Platform may contain links to third-party websites, services, or resources that are not owned or controlled by InvestPro. These links are provided solely for your convenience and do not imply endorsement, sponsorship, or affiliation with the third party. InvestPro has no control over and assumes no responsibility for the content, accuracy, privacy policies, terms of use, or practices of any third-party websites or services. You acknowledge and agree that InvestPro shall not be liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any third-party content, goods, or services available through such websites or services. We strongly encourage you to review the terms and privacy policies of any third-party websites or services that you visit. Any transactions or interactions you have with third parties accessed through the Platform are solely between you and the third party, and InvestPro disclaims all liability arising from such interactions.
Your use of the Platform is also governed by our Privacy Policy, which is incorporated into these Terms by reference. The Privacy Policy explains how we collect, use, store, and share your personal information, including the use of cookies, analytics tools, and advertising technologies. By using the Platform, you consent to the collection and processing of your personal information as described in the Privacy Policy. We are committed to protecting your privacy and complying with applicable Canadian privacy laws, including the Personal Information Protection and Electronic Documents Act (PIPEDA). You have certain rights regarding your personal data, including the right to access, correct, or request deletion of your information. These Terms and your use of the Platform shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to its conflict of law principles. Any legal action, suit, or proceeding arising out of or relating to these Terms or the Platform must be instituted exclusively in the courts located in Toronto, Ontario, Canada. You irrevocably submit to the exclusive jurisdiction of such courts and waive any objection to venue or inconvenient forum. If you are accessing the Platform from outside Canada, you are responsible for compliance with local laws in your jurisdiction, and you agree that Canadian law will govern to the extent permitted by your local law. InvestPro makes no representation that the Platform or its content is appropriate or available for use in all locations, and accessing the Platform from jurisdictions where its content is illegal is strictly prohibited.
In the event of any dispute, controversy, or claim arising out of or relating to these Terms or your use of the Platform, you agree to first attempt to resolve the matter informally by contacting InvestPro at [email protected]. We will make reasonable efforts to resolve disputes amicably within thirty (30) days of receiving notice. If the dispute cannot be resolved through informal negotiation, either party may initiate binding arbitration in accordance with the Arbitration Act (Ontario). The arbitration will be conducted by a single arbitrator appointed by mutual agreement of the parties or, if the parties cannot agree, appointed in accordance with the applicable arbitration rules. The arbitration will take place in Toronto, Ontario, and will be conducted in English. The arbitrator's decision will be final and binding, and judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction. Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent irreparable harm. This arbitration provision does not prevent you from bringing issues to the attention of federal, provincial, or local regulatory agencies or consumer protection authorities.
InvestPro reserves the right to suspend, restrict, or terminate your access to the Platform at any time, with or without cause, and with or without prior notice, in our sole discretion. Grounds for termination may include, but are not limited to, violation of these Terms, fraudulent or illegal activity, failure to maintain sufficient account balance, prolonged inactivity, or behavior that we determine to be harmful to InvestPro, other users, or third parties. Upon termination, your right to use the Platform will immediately cease, and you must discontinue all use of the Platform. InvestPro may also delete or deactivate your account and all associated data. Termination of access does not relieve you of any obligations incurred prior to termination, including outstanding fees, liabilities, or indemnification obligations. Sections of these Terms that by their nature should survive termination (including but not limited to intellectual property provisions, disclaimers, limitation of liability, indemnification, and dispute resolution) shall remain in full force and effect after termination.
InvestPro reserves the right to modify, update, or replace these Terms at any time in our sole discretion. Changes may be made to reflect changes in our services, legal requirements, business practices, or for any other reason. When we make material changes to these Terms, we will notify you by posting the updated Terms on the Platform and updating the "Last Updated" date at the top of this page. We will also provide notice through a prominent banner on the homepage or via email to the address associated with your account, at least fourteen (14) days before the changes take effect. Your continued use of the Platform after the effective date of the revised Terms constitutes your acceptance of the changes. If you do not agree to the updated Terms, you must discontinue use of the Platform and may close your account. We encourage you to review these Terms periodically to stay informed of any updates. It is your responsibility to check for changes, and your continued use of the Platform signifies your acceptance of any modifications.
Use of certain features and services on the Platform may be subject to fees, commissions, or other charges as set forth in our fee schedule, which is available on the Platform and incorporated into these Terms by reference. Fees may include, but are not limited to, trading commissions, account maintenance fees, currency conversion fees, data subscription fees, and wire transfer fees. You agree to pay all applicable fees associated with your use of the Platform. Fees are subject to change at any time upon notice as provided in these Terms. You are responsible for reviewing the current fee schedule and ensuring you understand all charges that may apply to your account. InvestPro reserves the right to deduct fees directly from your account balance. Failure to maintain sufficient funds to cover applicable fees may result in suspension or termination of your account. Certain third-party fees, such as bank wire fees or exchange fees, may also apply and are not controlled by InvestPro.
InvestPro Canada Inc. is regulated by the Investment Industry Regulatory Organization of Canada (IIROC) and is a member of the Canadian Investor Protection Fund (CIPF). We are required to comply with all applicable securities laws, regulations, and self-regulatory organization rules. As part of our regulatory obligations, we may request information from you to assess the suitability of certain investment products or trading strategies for your financial situation, investment objectives, and risk tolerance. You agree to provide accurate and complete information in response to such requests. InvestPro reserves the right to decline or restrict certain transactions if we determine they are unsuitable for your account or if they violate applicable laws or regulations. You acknowledge that certain investment products, such as options or leveraged securities, involve significant risk and may not be appropriate for all investors. It is your responsibility to understand the risks associated with any investment product before trading.
Investing in securities and other financial instruments involves substantial risk, including the risk of losing some or all of your invested capital. Market values fluctuate, sometimes rapidly and unpredictably, due to factors including economic conditions, interest rates, geopolitical events, market sentiment, and company-specific developments. Past performance of any security or portfolio is not indicative of future results. No investment strategy or risk management technique can guarantee returns or eliminate risk. You acknowledge that you are solely responsible for evaluating the risks and merits of any investment decision made through the Platform. InvestPro does not guarantee the performance of any security, the accuracy of any market data or research content, or the suitability of any investment product for your particular circumstances. You should carefully consider your financial situation, investment objectives, and risk tolerance before making any investment decision. InvestPro strongly recommends consulting with a qualified financial advisor, tax professional, or legal advisor before investing.
While InvestPro strives to maintain high availability and reliability of the Platform, we do not guarantee that the Platform will be available at all times or that it will be free from errors, interruptions, delays, or technical malfunctions. The Platform may be temporarily unavailable due to scheduled maintenance, system upgrades, network outages, third-party service disruptions, or unforeseen technical issues. InvestPro will make reasonable efforts to notify users of scheduled maintenance in advance, but we are not obligated to do so. You acknowledge that system outages or technical issues may prevent you from accessing your account, placing orders, or executing trades during certain periods. InvestPro shall not be liable for any losses, damages, or missed opportunities resulting from system downtime, order execution delays, data transmission errors, or other technical malfunctions. In the event of a system malfunction affecting order execution, InvestPro will make commercially reasonable efforts to address the issue, but we do not guarantee any specific remedy or compensation.
By using the Platform, you consent to receive communications from InvestPro electronically, including via email, in-platform notifications, or through the mobile application. You agree that all agreements, notices, disclosures, account statements, trade confirmations, tax documents, and other communications that we provide to you electronically satisfy any legal requirement that such communications be in writing. Electronic signatures and records have the same legal effect as physical signatures and paper records. You are responsible for maintaining a valid email address on file with InvestPro and for checking your account regularly for communications. We may send important notices, including notices of changes to these Terms, account alerts, regulatory disclosures, and transaction confirmations electronically, and such communications will be deemed delivered when sent. You may withdraw your consent to receive electronic communications by contacting us, but doing so may limit your ability to use certain features of the Platform or may result in account closure.
The Platform is intended for use by residents of Canada and may not be available in all jurisdictions. InvestPro reserves the right to restrict access to the Platform from certain countries or regions based on regulatory requirements, business considerations, or legal restrictions. You may not use the Platform if you are located in, or a resident of, a jurisdiction where such use would violate local law or where InvestPro is not authorized to offer its services. You represent and warrant that you are not located in, organized under the laws of, or a resident of any country or region subject to comprehensive economic sanctions or export controls imposed by Canada, the United States, the European Union, or the United Nations, including but not limited to countries designated on sanctions lists maintained by these authorities. You further represent that you are not identified on any government list of prohibited or restricted parties. InvestPro may suspend or terminate your account immediately if we determine that you are accessing the Platform from a prohibited jurisdiction or are otherwise subject to applicable sanctions or export controls.
These Terms, together with our Privacy Policy and any other policies or agreements incorporated by reference, constitute the entire agreement between you and InvestPro Canada Inc. regarding your use of the Platform and supersede all prior or contemporaneous communications, agreements, or understandings, whether written or oral, relating to the subject matter herein. If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect, and the invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent. The failure of InvestPro to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision. No waiver of any term shall be deemed a further or continuing waiver of such term or any other term. You may not assign or transfer your rights or obligations under these Terms without InvestPro's prior written consent. InvestPro may assign or transfer these Terms, in whole or in part, at any time without notice or consent.
